Natural Nutrition Plus — Gyms & Fitness Centre Partnership Program Terms & Conditions (Australia)
1. Exclusive Facility & Local Area Rights
Each Partner Gym or Fitness Centre ("Partner") is granted non-transferable rights to promote and sell Natural Nutrition Plus products within its approved facility and agreed local operating area ("Territory").
Selling, marketing, or distributing products outside the approved facility or Territory without prior written approval from Natural Nutrition Plus is prohibited and may result in termination of partnership rights.
Expansion into additional facilities or locations requires separate written approval and agreement.
2. Product Pricing & Purchase
- Partner Gyms receive a 50% discount off the Recommended Retail Price (RRP).
- Minimum order quantities apply as advised at the time of ordering.
- Shipping costs are not included in product pricing and will vary depending on the Partner's nominated courier or freight provider and chosen mode of transit (including but not limited to air, sea, or land freight).
- All shipping costs, GST (where applicable), freight charges, handling fees, insurance, and other associated expenses are the responsibility of the Partner unless otherwise agreed in writing.
- All prices, fees, and charges are subject to change at any time due to production costs, logistics conditions, currency fluctuations, or supplier pricing adjustments. Updated pricing will apply to future orders.
3. Orders, Payment & Production
- Orders are invoiced at approved partner pricing.
- All orders are supplied on a preorder basis to maintain production efficiency and product freshness.
- Full payment must be received and cleared prior to production or shipment unless otherwise agreed in writing.
- Production and allocation of stock will commence only after payment confirmation has been received.
- All transactions must be paid in full for production to commence.
4. Delivery & Shipment
- The estimated delivery window is between four (4) to six (6) months from the date of cleared payment, depending on production demand, inventory allocation, and logistics conditions.
- This production timeframe supports optimal stock freshness and quality assurance standards.
- Delivery timeframes are estimates only and may vary due to manufacturing schedules, freight availability, customs processing, or circumstances beyond reasonable control.
- Products will be shipped to the Partner's nominated facility or delivery address.
- Risk in the goods transfers to the Partner upon dispatch, subject to applicable law.
- The Partner is responsible for proper storage, handling, and inventory management following delivery.
5. Product Promotion & Distribution Guidelines
Partners may promote and sell products to:
- Gym members
- Personal training clients
- Walk-in customers within the approved facility
The following are prohibited:
- Online sales outside the approved Territory without written approval
- False, misleading, or unsubstantiated health claims
- Modification of packaging, labelling, or branding
- Representing products as therapeutic goods unless approved under Australian regulations
All marketing must comply with:
- Australian Consumer Law (ACL)
- ACCC advertising standards
- Therapeutic Goods Administration (TGA) advertising requirements (where applicable)
6. Reporting & Compliance
Partners may be required to submit periodic sales or promotional reports upon reasonable request.
Natural Nutrition Plus reserves the right to review marketing materials and sales practices to ensure brand and regulatory compliance.
Breaches may result in:
- Suspension or termination of partnership
- Withdrawal of supply privileges
- Legal action for intellectual property or brand infringement
7. Legal & Regulatory Compliance
The Partner is responsible for complying with all applicable Australian laws relating to:
- Retail sales
- Consumer protections
- Supplement promotion
- Tax obligations
The Partner indemnifies Natural Nutrition Plus against claims, penalties, or regulatory action arising from unlawful advertising, resale practices, or representations made independently by the Partner.
8. Non-Transferability & Additional Locations
Partnership rights apply only to the approved facility and are non-transferable without written consent.
Additional facilities require separate approval and agreement.
9. Refund, Return & Cancellation Policy (Partner Orders)
9.1 Commercial Supply Acknowledgement
Products supplied under this program are purchased for business resale purposes and not for personal, domestic, or household consumption by the Partner.
9.2 Order Cancellation
Orders may only be cancelled prior to production or dispatch and require written approval. Approved cancellations are subject to an Administration & Processing Fee equal to 10% of the order value, reflecting operational and administrative costs incurred.
9.3 Returns Eligibility
Returns will only be considered where:
- Products arrive damaged during transport; or
- Products contain manufacturing defects; or
- Goods materially differ from confirmed order specifications.
Claims must be submitted within 7 days of delivery, including photographic evidence and delivery records.
9.4 Return Authorisation
Written return authorisation from Natural Nutrition Plus is required before any goods are returned. Unauthorised returns will not be accepted.
9.5 Restocking & Administration Fee
Approved returns (excluding major defects) may incur a restocking and administration fee of up to 15% of the order value to cover:
- Inspection and quality control
- Handling and warehousing
- Administrative processing
This fee represents a genuine estimate of business costs incurred.
9.6 Refund Method
Approved refunds may be issued as:
- Credit toward future purchases; or
- Refund via original payment method at the discretion of Natural Nutrition Plus.
Shipping and freight charges are non-refundable unless required by law.
10. Limitation of Liability
To the maximum extent permitted by law:
- Natural Nutrition Plus is not liable for indirect or consequential losses, including loss of profits or business interruption arising from resale activities.
- Liability is limited to replacement of goods or refund of purchase price where legally permitted.
11. Benefits & Partnership Support
Partners receive:
- Access to a premium wellness brand
- Preferential wholesale pricing
- Marketing and account support
- Facility-based exclusivity protections
