Natural Nutrition Plus — Master Distributor Program Terms & Conditions

1. Exclusive Territory & Country Rights

Each Master Distributor is granted exclusive rights to market, sell, and distribute Natural Nutrition Plus products within their assigned country ("Territory") only.

Selling, marketing, or shipping products outside the assigned Territory without prior written approval is strictly prohibited and may result in immediate termination of Master Distributor rights.

Distribution rights for additional countries require a separate qualifying bulk order of 300,000 units per product, subject to approval by Natural Nutrition Plus.

2. Product Purchase Requirements & Pricing

• Minimum purchase per order: 300,000 units per product (femaleFITNESS bodySPARKPLUG and maleUP&GO bodySPARKPLUG).
• Master Distributors receive a 50% discount off the Recommended Retail Price (RRP).
• Shipping costs are not included in product pricing and will vary depending on the Master Distributor's nominated courier or freight provider and chosen mode of transit (including but not limited to air, sea, or land freight).
• All shipping costs, insurance, import duties, customs clearance fees, GST/VAT, local taxes, regulatory expenses, and associated charges are the sole responsibility of the Master Distributor unless otherwise agreed in writing.
• All prices, fees, and charges are subject to change at any time due to production costs, logistics conditions, currency fluctuations, or supplier pricing adjustments. Updated pricing will apply to future orders.

3. Orders, Payment & Production

• Orders are invoiced at approved distributor pricing.
• All orders are supplied on a preorder basis.
• Full payment must be received and cleared before production commences unless otherwise agreed in writing.
• Production will only begin once payment confirmation has been received.
• All transactions must be paid in full for production to commence.

4. Delivery & Shipment

• The estimated delivery window is between four (4) to six (6) months from the date of cleared payment, depending on production demand, inventory allocation, and logistics conditions.
• This production timeframe ensures optimal product freshness and quality standards.
• Delivery timelines are estimates only and may vary due to manufacturing schedules, freight availability, customs processing, or circumstances beyond reasonable control.
• Products will be shipped to the warehouse or delivery address nominated by the Master Distributor.
• Risk and responsibility for goods transfer to the Master Distributor upon dispatch unless otherwise required by applicable law.

5. Distribution Guidelines

Master Distributors may sell products within their Territory through:

• Pharmacies
• Health food stores
• Retailers and resellers
• Approved online platforms

The following are strictly prohibited:

• Sales outside the assigned Territory
• Misrepresentation of product benefits
• Non-compliant health or therapeutic claims
• Alteration of branding, packaging, or labelling without written approval

All marketing activities must comply with applicable advertising laws and Natural Nutrition Plus brand guidelines.

6. Reporting & Compliance

• Quarterly sales reports must be submitted upon request.
• Natural Nutrition Plus reserves the right to audit distribution activities for compliance.

Breaches may result in:

• Termination of distributor rights
• Suspension of supply
• Legal action for contractual or brand infringement
• Revocation of exclusivity privileges

7. Legal & Regulatory Compliance

Master Distributors are solely responsible for compliance with all laws within their Territory, including:

• Import regulations
• Supplement registration requirements
• Labelling compliance
• Advertising standards
• Tax obligations

Any violation creating regulatory risk to Natural Nutrition Plus will constitute a material breach of this Agreement.

8. Non-Transferability & Additional Territories

Master Distributor rights are non-transferable without prior written consent from Natural Nutrition Plus.

Expansion into additional Territories requires separate qualification, approval, and purchase requirements.

9. Refund, Return & Cancellation Policy (Commercial Orders)

9.1 Nature of Orders
All Master Distributor purchases are commercial bulk transactions and are not consumer retail purchases. Products are manufactured, allocated, and prepared specifically for distributor orders. Accordingly, change-of-mind returns are limited.

9.2 Order Cancellation
Orders may only be cancelled prior to production or dispatch. Approved cancellations are subject to an Administration & Processing Fee equal to 10% of the total order value to cover operational costs already incurred.

9.3 Returns Eligibility
Returns will only be considered where:

• Products arrive damaged in transit;
• Products are materially defective; or
• Goods supplied do not match the confirmed order specifications.

Claims must be submitted in writing within 7 days of delivery, including photographic evidence and shipment documentation.

9.4 Inspection & Approval
Natural Nutrition Plus reserves the right to:

• Inspect goods
• Request samples
• Require return authorisation prior to acceptance

Unauthorised returns will not be accepted.

9.5 Restocking & Administration Fee
Where a return is approved (excluding major defects), a restocking and administration fee of up to 15% of the order value may apply to cover:

• Handling and inspection
• Warehousing logistics
• Quality assurance processes
• Administrative and operational labour

This fee represents a genuine pre-estimate of business costs incurred.

9.6 Refund Method
Approved refunds will be issued via:

• Credit toward future orders; or
• Original payment method, at Natural Nutrition Plus' discretion.

Shipping, customs, and import costs are non-refundable unless required under applicable law.

10. Limitation of Liability

To the maximum extent permitted by law:

• Natural Nutrition Plus shall not be liable for indirect, consequential, or loss-of-profit damages arising from resale, marketing, or distribution activities.
• Liability is limited to replacement of goods or refund of the purchase price where legally permitted.

Master Distributors receive:
