Natural Nutrition Plus — Bulk Order Program Terms & Conditions

1. Product Purchase Requirements & Pricing

• Minimum purchase per order: 30,000 units per product.
• Bulk Order customers receive a 35%–45% discount off the Recommended Retail Price (RRP) depending on the approved pricing tier.
• Shipping costs are not included in product pricing and will vary depending on the buyer's nominated courier or freight provider and chosen mode of transit, including but not limited to air, sea, or land freight.
• All shipping costs, freight insurance, import duties, GST/VAT, customs clearance fees, regulatory costs, and local taxes are the sole responsibility of the buyer unless otherwise agreed in writing.
• All prices, fees, discounts, and charges are subject to change at any time due to production costs, logistics conditions, currency fluctuations, supplier pricing adjustments, or market conditions. Updated pricing will apply to future orders.

2. Orders, Payment & Production

• Orders are invoiced at approved bulk pricing.
• All orders are supplied on a preorder basis to support production planning and maintain product freshness.
• Full payment must be received and cleared prior to production or shipment unless otherwise agreed in writing.
• Production and stock allocation will commence only after payment confirmation has been received.
• All transactions must be paid in full before production begins.

3. Delivery & Shipment

• The estimated delivery window is between four (4) to six (6) months from the date of cleared payment, depending on production demand, inventory allocation, and logistics conditions.
• This production timeframe supports optimal stock freshness and quality assurance standards.
• Delivery timeframes are estimates only and may vary due to manufacturing schedules, freight availability, customs processing, port congestion, or circumstances beyond reasonable control.
• Products will be shipped to the buyer's nominated warehouse or delivery address.
• Risk in the goods transfers to the buyer upon dispatch unless otherwise required under applicable law.
• The buyer is responsible for logistics coordination, unloading, storage, handling, and inventory management following dispatch.

4. Distribution & Marketing Guidelines

Bulk Order customers may resell products through:

• Pharmacies
• Health food stores
• Retail outlets
• Resellers
• Approved online sales channels

The following are prohibited:

• False or misleading health claims
• Alteration of packaging, branding, or labelling
• Misrepresentation of product origin, certification, or benefits

All advertising and marketing must comply with applicable consumer protection and advertising laws within the buyer's jurisdiction.

5. Reporting, Brand Protection & Compliance

Natural Nutrition Plus reserves the right to review distribution practices to ensure brand integrity and compliance. Misuse of branding or product misrepresentation may result in:

• Suspension or termination of bulk purchasing privileges
• Refusal of future orders
• Legal action for intellectual property infringement or reputational damage

6. Legal & Regulatory Compliance

The buyer is solely responsible for complying with all laws applicable within their market, including but not limited to:

• Supplement import regulations
• Product registration requirements
• Advertising and health claim restrictions
• Tax obligations and resale compliance

The buyer indemnifies Natural Nutrition Plus against penalties, losses, or claims arising from unlawful promotion, distribution, or regulatory breaches within the buyer's control.

7. Non-Transferability

Bulk purchase rights and pricing privileges are non-transferable without prior written consent from Natural Nutrition Plus.

8. Refund, Return & Cancellation Policy (Commercial Bulk Orders)

8.1 Commercial Transaction Acknowledgement
The buyer acknowledges that all purchases under the Bulk Order Program are commercial transactions made for business resale purposes and not for personal, domestic, or household use. Orders are manufactured and allocated specifically for commercial distribution and are therefore subject to limited return rights.

8.2 Order Cancellation
Orders may only be cancelled prior to production or shipment and require written approval. Approved cancellations are subject to an Administration & Processing Fee equal to 10% of the total order value, representing operational and administrative costs already incurred.

8.3 Returns Eligibility
Returns will only be considered where:

• Products are damaged during transit; or
• Products contain material manufacturing defects; or
• Goods supplied materially differ from confirmed order specifications.

All claims must be submitted within 7 days of delivery, including photographic evidence, delivery documentation, and batch or shipment identification details.

8.4 Return Authorisation
Natural Nutrition Plus must issue written return authorisation prior to any return shipment. Unauthorised returns will not be accepted or refunded.

8.5 Restocking & Administration Fee
Where a return is approved for reasons other than major product defects, a restocking and administration fee of up to 15% of the order value may apply to cover:

• Inspection and quality control
• Warehousing and handling
• Operational labour and processing costs

This fee represents a genuine estimate of business expenses incurred.

8.6 Refund Method
Approved refunds may be issued as:

• Credit toward future purchases; or
• Refund via the original payment method, at the discretion of Natural Nutrition Plus.

Shipping, freight, customs, and regulatory costs are non-refundable unless required by law.

8.7 Australian Consumer Law
Nothing in these Terms excludes, restricts, or modifies any rights or remedies available under the Australian Consumer Law. Where goods fail to meet statutory guarantees, remedies will be provided as required by law.

9. Limitation of Liability

To the maximum extent permitted by law:

• Natural Nutrition Plus is not liable for indirect, consequential, or loss-of-profit damages arising from resale or distribution activities.
• Liability is limited to replacement of goods or refund of the purchase price where legally permitted.
